These Terms & Conditions (“Terms”) govern your use of the Seats platform, website, and mobile applications (collectively, the “Platform”). By purchasing, listing, or using any service provided by Seats for Tickets Sales L.L.C (“Seats”), you agree to these Terms in full.

Seats operates as an Official Primary Ticket Seller and Authorized Distributor for live events and experiences.

2. DEFINITIONS

  • Seats Application / Platform: the online platform and mobile application through which Seats facilitates ticket and experience sales.
  • Customer / You: any person over 14 years old or legal entity creating a user account and purchasing tickets or experiences via Seats.
  • Partner: event organizers, venues, or experience providers authorized by Seats to offer their events and experiences through the Platform.
  • Experience / Event: any live event, festival, concert, or activity made available for purchase through Seats by an authorized Partner.
  • Content: all information, media, and materials on the Platform, including descriptions, images, logos, videos, and reviews.
  • Order: a request to purchase a ticket or experience via the Platform, completed by payment.
  • Account: your personal section in the Seats Application for managing orders, favorites, and other activities.

Seats ensures that all tickets and experiences sold through the Platform are fully authorized by the respective Partners.

3. ROLE & POSITIONING OF SEATS

  • Seats acts as an official primary ticket seller, authorized distributor, and commercial agent for event organizers, venues, promoters, and rights holders.
  • Seats may also act as a distribution and technology partner for inventory management, promotion, and ticket issuance.
  • Seats is not the event producer or venue operator unless explicitly stated. Event organizers remain fully responsible for:
    • Event delivery and operations
    • Safety and security
    • Artist/performer appearance
    • Venue management
    • Regulatory approvals and permits

Seats’ responsibility is limited strictly to:

  • Ticket issuance
  • Payment collection
  • Distribution
  • Platform technology

4. ACCOUNT & ORDERS

  • Creating an account allows you to manage purchases, favorites, and communications.
  • Orders for tickets and experiences must be completed through the Platform. Payment is processed securely via Stripe in AED.
  • Seats may offer installment payment plans, promotional campaigns, or package offers.

4A. BOOKING & EXPERIENCE VALIDITY

  • Tickets or experiences purchased via Seats are valid only for the date, time, and location specified at purchase unless otherwise authorized by the Partner.
  • Any change requests (date, time, or participant) must be approved explicitly by the Partner. Seats cannot guarantee modifications.
  • Expired or missed tickets/experiences cannot be refunded or rescheduled.
  • Tickets or experiences are non-transferable unless the Partner allows authorized transfers.
  • Customers must comply with any special instructions or restrictions provided by the Partner, including check-in requirements, age restrictions, or safety regulations.
  • Seats is not responsible for:
    • Customers failing to arrive on time
    • Partner-specific rules and policies
    • Missed participation due to personal reasons

5. INTERNATIONAL SALES

  • Seats may sell tickets globally, including for events in the United Kingdom, Europe, and other territories.
  • By purchasing international tickets, you acknowledge:
    • Seats sells as an authorized distributor
    • Event organizers remain responsible for event delivery
    • Local event regulations may apply
    • Taxes or VAT may be included or handled by organizers

Seats bears no responsibility for:

  • Visa refusal
  • Travel disruption
  • Border restrictions
  • Local entry requirements

All transactions remain contracted with Seats in the UAE.

6. STRICT NO REFUND POLICY

ALL SALES ARE FINAL. NO REFUNDS OR EXCHANGES.
Tickets cannot be refunded, exchanged, or cancelled under any circumstances, including:

  • Change of plans
  • Travel disruption
  • Illness
  • Visa issues
  • Artist lineup changes
  • Weather conditions
  • Personal reasons
  • Late arrival or no-show

Event Cancellation:

  • Refunds only issued if funds are returned by the Partner
  • Seats acts solely as collection and distribution agent
  • Service fees, processing fees, and payment charges are non-refundable

Event Rescheduled:

  • Tickets remain valid
  • No refunds will be issued

Force Majeure:

  • No refunds due to government restrictions, weather, public health, security risks, venue decisions, or other force majeure events

7. CHARGEBACKS & PAYMENT DISPUTES

  • Customers agree not to initiate unjustified payment disputes.
  • Unauthorized chargebacks may result in:
    • Account suspension or permanent ban
    • Recovery of funds and legal costs
    • Sharing of transaction and usage data with banks and authorities
  • Fraudulent chargebacks may result in civil or criminal action.

8. ANTI-SCALPING & RESALE CONTROL

  • Tickets may not be resold commercially without written approval.
  • Tickets cannot be sold above face value where prohibited.
  • Tickets cannot be bundled with travel/hospitality or used in promotions without authorization.
  • Seats may cancel tickets sold via unauthorized channels, void scalped tickets, or refuse entry without refund.

9. ORGANIZER LIABILITY & INDEMNITY

  • Partners must hold valid permits, deliver events as marketed, and honor all valid tickets.
  • Partners indemnify and hold Seats harmless against:
    • Attendee claims
    • Event cancellation losses
    • Venue incidents
    • Artist issues
    • Regulatory breaches
    • Injury, damage, or loss occurring at events
  • Seats carries no operational liability for event execution.

10. TICKET DELIVERY & ENTRY CONDITIONS

Seats is not responsible if:

  • Incorrect contact details are provided
  • Tickets are lost in spam folders
  • Customer device fails
  • Customer fails to present ticket
  • Venue denies entry due to behavior, lateness, or dress code

Admission is subject to venue and Partner policies.

11. PLATFORM SECURITY & USE

Users must not:

  • Attempt fraud or payment abuse
  • Use bots or automated purchasing tools
  • Copy or scrape listings
  • Interfere with platform operations

Seats may suspend accounts or cancel orders at its discretion.

12. DATA & PRIVACY

Seats may collect and process:

  • Customer identity and contact data
  • Transaction information
  • Device and IP data

Data may be shared with:

  • Partners
  • Payment processors
  • Government authorities where required

13. REVIEWS

  • Customers may submit reviews of experiences or events.
  • By submitting, you grant Seats the right to use reviews for service improvement and marketing purposes, while maintaining your intellectual property rights.

14. INTELLECTUAL PROPERTY

  • Seats owns all rights to the Platform, its branding, and Content.
  • Users must respect these rights and not reproduce or distribute Content without authorization.

15. LIMITATION OF LIABILITY

  • Seats is responsible only for ticket and experience facilitation.
  • Liability for event delivery, experience quality, or participation rests with the Partner.
  • Seats shall not be liable for:
    • Travel or accommodation costs
    • Indirect or consequential loss
    • Loss of enjoyment
    • Business or commercial losses

Maximum liability never exceeds the ticket face value paid.

16. ENFORCEMENT

  • Violations of Terms may result in account suspension or deletion.
  • Seats may take legal or corrective action to protect Customers, Partners, and the Platform.

17. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of Dubai, United Arab Emirates.
All disputes are subject exclusively to the jurisdiction of Dubai Courts, Dubai, UAE.

18. ACCEPTANCE OF TERMS

By purchasing, listing, or using Seats, you confirm that you have read, understood, and agreed to these Terms in full.
